Filing calendar

What's due, and when.

Most deadlines are tied to the Annual General Meeting (AGM). The AGM must be held by 30 September each year for all companies except the first financial year.

AOC-4
Financial Statements
Within 30 days of AGM. Files the audited balance sheet, P&L, and board report with MCA.
MGT-7
Annual Return
Within 60 days of AGM. Files director details, shareholding, and company position with MCA.
ADT-1
Auditor Appointment
Within 15 days of AGM. Notifies MCA of the auditor appointed or reappointed for the year.
DIR-3 KYC
Director KYC
30 September every year. Mandatory for every DIN holder, active directors and former directors alike.
₹100 per day, per form. Late filing of AOC-4 or MGT-7 attracts ₹100 per day in additional MCA fees, with no upper cap. A 3-month delay on both forms costs ₹18,000 in government penalties alone. Filing on time costs nothing extra.

What we handle

Every filing. Every deadline.

AOC-4: Financial Statements

We co-ordinate with your statutory auditor to collect the signed financial statements and file AOC-4 on the MCA portal before the due date. We review the documents before submission.

MGT-7: Annual Return

Director details, shareholding pattern, charges, and any changes during the year, compiled and filed with MCA. We check the data against your incorporation documents for consistency.

ADT-1: Auditor Appointment

Filed within 15 days of AGM each year. We track the AGM date and file before the deadline. If the auditor changes, we handle the resignation and fresh appointment paperwork.

DIR-3 KYC, All Directors

Annual KYC filing for every DIN holder in the company. We remind you in August, collect Aadhaar OTP verification, and file before 30 September. No last-minute scramble.

Government Fee Management

All MCA filing fees and stamp duty are paid through your account, not ours. We calculate the exact fee before payment so you see the amount before any money moves.

Backlog and Late Filing

Missed previous years? We assess the accumulated additional fees, advise on the total cost, and file everything needed to bring your company back to compliant status.

FAQ

Questions about MCA filings.

Every active Private Limited company must file: AOC-4 (financial statements, due within 30 days of AGM), MGT-7 (annual return, due within 60 days of AGM), ADT-1 (auditor appointment, due within 15 days of AGM), and DIR-3 KYC for every director (due 30 September each year). Non-filing attracts ₹100 per day per form in additional fees, these add up quickly.
Late filing attracts an additional fee of ₹100 per day per form, with no cap. A form delayed by 90 days costs ₹9,000 in additional government fees alone, on top of the standard filing fee. Directors of companies with repeated defaults can also face disqualification under Section 164 of the Companies Act.
DIR-3 KYC is an annual KYC verification mandatory for every individual who holds a DIN (Director Identification Number), even if they are no longer an active director. The deadline is 30 September each year. Missing the deadline results in deactivation of the DIN; reactivation requires filing DIR-3 KYC Web with an ₹5,000 late fee.
ADT-1 is the form to inform MCA of the company's auditor appointment or reappointment. It must be filed within 15 days of the Annual General Meeting. First-time auditor appointments (at incorporation) are notified within 30 days. Non-filing attracts the standard ₹100/day additional fee.
For AOC-4: audited financial statements (balance sheet, P&L, cash flow statement, notes to accounts), auditor's report, and board report. For MGT-7: details of directors, shareholding pattern, changes during the year, and debt position. If your accounts are not yet audited, we coordinate with your statutory auditor, or can refer one if needed.
Yes, unless you have filed Form STK-2 to obtain dormant company status. Even companies with nil turnover and nil activity must file annual returns and financial statements. Dormant companies that have filed STK-2 file a simplified form (MSC-3) each year. We handle both.
Yes, late filing is possible and often the right move. The additional fees (₹100/day/form) keep accumulating until filed, so the sooner you file, the lower the penalty. We assess the backlog, compute the government fees due, and advise before we start. We do not file without your approval of the final fee figure.
The package covers: AOC-4 and MGT-7 filing (professional fee), auditor appointment notification (ADT-1), and co-ordination on DIR-3 KYC for up to 2 directors. Government fees (MCA filing fees and any stamp duty) are billed at actuals with full receipts. Additional directors' DIR-3 KYC are billed at ₹500 per director beyond the first two.
